1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Client", or "Organization") and Agentarum Inc. ("Agentarum", "we", "our", or "us"), governing your access to and use of the Agentarum web platform, APIs, agentic orchestration services, and associated products located at agentarum.ai.

By accessing, browsing, registering for, or using our services, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are entering into these Terms on behalf of an enterprise or other legal entity, you represent and warrant that you possess the requisite authority to bind such entity.

2. Description of Services

Agentarum provides enterprise AI intelligence, agentic workflow automation, proprietary domain research tracks, executive training, and customizable software solutions. We reserve the right to upgrade, modify, or temporarily suspend any aspect of the service to perform maintenance, introduce enhancements, or comply with applicable laws.

3. User Accounts, Team Roles & Security

To access specialized enterprise features, you must register for an account. You agree to provide accurate, complete, and up-to-date information. Enterprise administrators are responsible for managing member seats, role permissions, and access credentials within their assigned workspace.

4. Subscriptions, Pricing & Billing Terms

Subscriptions are billed on either a monthly or annual recurring basis, or via authorized Enterprise Purchase Orders (PO). Fees are non-refundable except as expressly provided herein or required by mandatory consumer protection regulations.

• Automatic Renewal: Unless cancelled prior to the billing cycle renewal date, recurring plans renew automatically.
• Custom Enterprise Contracts: Invoicing terms, credit allocations, and custom Service Level Agreements (SLAs) are governed by the executed Enterprise Master Services Agreement (MSA).
• Taxes: All listed prices are exclusive of applicable federal, state, or value-added taxes unless stated otherwise.

5. Intellectual Property Rights & Ownership

Agentarum retains all right, title, and interest in and to the platform, proprietary algorithms, interface designs, trade secrets, trademarks, and documentation. You retain all ownership rights in and to your proprietary data, inputs, and confidential enterprise datasets uploaded to the system.

6. Acceptable Use Policy & Prohibited Conduct

You agree not to use the platform to:

• Violate any local, national, or international statute, law, or regulation.
• Reverse-engineer, decompile, extract weights, or replicate proprietary model architectures without express written permission.
• Conduct automated denial-of-service attacks, rate-limit bypassing, or unauthorized vulnerability scraping.
• Transmit malicious code, viruses, or defamatory material.

7. AI Content & Output Disclaimer

Agentarum utilizes cutting-edge machine learning and agentic generative systems. While we engineer high accuracy and strict guardrails, artificial intelligence models may occasionally produce approximations, statistical variances, or incomplete outputs. Outputs should be validated by appropriate domain experts prior to high-stakes decision-making.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall Agentarum, its affiliates, directors, or employees be liable for any indirect, consequential, punitive, incidental, or special damages, including lost profits or business disruption, arising from or related to the use or inability to use the platform.

9. Termination & Suspension

We reserve the right to suspend or terminate accounts that breach these Terms, engage in fraud, or compromise system security. You may terminate your account at any time via your dashboard settings or by contacting customer support.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the United States of America, without regard to its conflict of law provisions. Any dispute shall be resolved through confidential binding arbitration.
